Terms of Use

These Terms of Use (“Terms”) govern your use of rapidfund.me and the client portal at portal.rapidfund.me (together, the “Services”), operated by Rapid Fund LLC, a Minnesota limited liability company (“Rapid Fund,” “we,” “us,” or “our”). By using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Services.

If you use the Services on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms, and “you” includes that entity.

1. What Rapid Fund Does

Rapid Fund connects real estate investors with third-party lenders that offer business-purpose financing. Rapid Fund is not a lender and does not make loans or credit decisions.

• Submitting a Transaction Summary or any other information through the Services is not a loan application and does not create a loan commitment, pre-approval, or guarantee of financing.
• Nothing on the Services is an offer to lend. All loan terms, rates, fees, and approval decisions are made solely by the lenders.
• Where a license is required, loan brokerage services are provided through licensed partners.
• Loan programs are not available in all states.

2. Business-Purpose Loans Only

The Services are only for financing real estate held for business or investment purposes. They may not be used to seek a loan secured by a property that you or a member of your family occupies, or intends to occupy, as a residence. By using the Services, you represent that any financing you seek through Rapid Fund is for business purposes.

3. Eligibility

You must be at least 18 years old and able to enter into a binding contract to use the Services.

4. Information You Provide

You agree to provide information that is accurate, complete, and current, and to update it if it changes. You authorize Rapid Fund to share the information and documents you provide with lenders, licensed brokerage partners, and other parties involved in your transaction, and to verify that information, as described in our Privacy Policy. You are responsible for making sure you have the right to share any documents or information you submit.

5. Portal Accounts

If you create an account on our client portal, you are responsible for keeping your login credentials confidential and for all activity under your account. Please notify us right away if you believe your account has been accessed without permission. We may suspend or close accounts to protect the Services or other users.

6. Compensation

We do not charge a fee to submit a Transaction Summary. Rapid Fund and its partners may receive compensation from lenders or other parties in connection with a loan that closes. Any fees that you are responsible for paying will be disclosed to you in writing before you are obligated to pay them.

7. Acceptable Use

You agree not to:

• use the Services for any unlawful or fraudulent purpose;
• submit false, misleading, or incomplete information, or impersonate any person or entity;
• attempt to gain unauthorized access to the Services, other accounts, or our systems;
• interfere with or disrupt the Services, or upload viruses or other harmful code; or
• scrape, copy, or collect content or data from the Services by automated means without our written permission.

8. Intellectual Property

The Services, including their text, graphics, logos, and software, are owned by Rapid Fund or its licensors and are protected by law. We grant you a limited, revocable, non-transferable right to use the Services for their intended purpose. You may not copy, modify, or distribute any part of the Services without our written permission.

9. Third-Party Services and Links

The Services may include links to, or work with, websites and services operated by others, including lenders and partners. We are not responsible for their content, terms, or practices, and your dealings with them are solely between you and them.

10. No Professional Advice

Information on the Services is for general informational purposes only and is not legal, tax, accounting, investment, or financial advice. You should consult your own professional advisors before making any financing or investment decision.

11. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT YOU WILL RECEIVE FINANCING, ANY PARTICULAR LOAN TERMS, OR ANY PARTICULAR RESULT, OR THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, RAPID FUND AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST OPPORTUNITIES, OR LOSS OF DATA, ARISING OUT OF OR RELATING TO THE SERVICES OR ANY LOAN OR TRANSACTION. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED ONE HUNDRED DOLLARS ($100).

13. Indemnification

You agree to indemnify and hold harmless Rapid Fund and its members, managers, employees, and agents from any claims, losses, and expenses, including reasonable attorneys’ fees, arising from your use of the Services, information you provide, or your violation of these Terms.

14. Termination

We may suspend or end your access to the Services at any time, for any reason, including if you violate these Terms. Sections that by their nature should continue, such as those on intellectual property, disclaimers, limitation of liability, and indemnification, will survive.

15. Governing Law

These Terms are governed by the laws of the State of Minnesota, without regard to its conflict-of-law rules. Any dispute relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Hennepin County, Minnesota, and you consent to the jurisdiction of those courts.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will change the “Last updated” date above. Your continued use of the Services after an update means you accept the revised Terms.
